Policies that apply to your account and use of this site

These Terms of Service form a legal agreement between you, including the entity you represent, and Helprace, Inc. (“Helprace”, “us”, “we” or “our”), the provider of the Helprace website and services accessible from the Helprace website (collectively, the “Helprace Service”). By accessing or using the Helprace Service, you agree to be bound by these Terms of Service.

If you do not agree to these Terms of Service, do not access or use the Helprace Service. If you violate these Terms of Service, we may suspend or terminate your account and access to the Helprace Service.

Your Account

  • Registration. Accounts must be registered by a human being who is at least 16 years old.

  • Registration information. You must provide accurate and complete information required by Helprace to complete the signup process and keep that information reasonably up to date.

  • Credentials. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Our Privacy Policy governs personal information.

  • Use restrictions. You may not use the Helprace Service for any illegal, fraudulent or unauthorized purpose, and you may not use the Helprace Service in violation of applicable law.

  • infringe or circumvent security features of the Helprace Service;

  • distribute malware, viruses, worms, trap doors or other harmful code;

  • harass, abuse, threaten, defame or infringe the rights of others;

  • submit content that is fraudulent, deceptive, hateful, obscene or unlawful; or

  • misrepresent your identity or the source of any information.

Subscription, Billing, Refunds, Upgrades and Downgrades

A valid payment method is required for paid subscriptions, unless Helprace agrees to another payment method such as annual invoicing or wire transfer. Free accounts are not required to provide a payment method.

The Helprace Service is billed in advance on a monthly or annual basis in accordance with our pricing schedule. Unless otherwise stated in writing, subscriptions automatically renew for the same billing period until cancelled.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the then-current billing period unless otherwise stated in your plan or applicable order form.

Except where required by law or expressly stated otherwise, fees are non-refundable. If Helprace offers a partial refund, service credit, prorated adjustment, upgrade credit or downgrade adjustment in a specific case, that does not create an obligation to do so in all cases.

Downgrading your Helprace Service may cause loss of content, features or capacity of your account, and Helprace does not accept liability for such losses.

All fees are exclusive of taxes, levies or duties imposed by taxing authorities, and you are responsible for payment of all such taxes, levies or duties except taxes based on Helprace’s net income.

Violation of these Terms of Service

We reserve the right to investigate and take appropriate action regarding any violation of these Terms of Service, including cooperating with law enforcement where appropriate. We may remove content, suspend access, or delete accounts that violate these Terms of Service or create risk for Helprace, its users or third parties.

Account Deletion

You are responsible for properly deleting your account. You can delete your account from the Subscription & Billing page within your account settings. Only users with the Owner role have access to this page. See this article for instructions.

Deletion of your account will result in deactivation of your account and removal of active content in your account. Deleted accounts may be restorable for a limited period, currently up to 14 days, at the request of the Account Owner. After that period, active data may no longer be recoverable, although residual copies may remain in backups or archives for a limited time consistent with our retention practices.

Account Cancellation and Termination

Helprace reserves the right to terminate free accounts that have no activity for 60 days, or trial accounts 30 days after expiration.

Helprace may suspend or terminate any account that breaches these Terms of Service or creates legal, security or operational risk. Termination may result in deactivation or deletion of your account, loss of access to your account, and removal of content associated with the account.

Modifications to the Helprace Service and Prices

We reserve the right to modify or discontinue the Helprace Service, or any part of it, temporarily or permanently. We will use reasonable efforts to notify customers of significant maintenance, service disruptions or material changes where practicable.

Any new features, tools or resources that impact your use of the Helprace Service will be subject to these Terms of Service.

We may revise these Terms of Service from time to time. If we make material changes, we will update the date at the top of this page and use reasonable efforts to provide notice, such as by email or through the service. Your continued use of the Helprace Service after the revised Terms of Service become effective constitutes acceptance of the revised Terms of Service.

Prices of Helprace Service plans are subject to change. If Helprace discontinues your current plan or requires migration to a different plan, we will use reasonable efforts to provide advance notice.

Intellectual Property and Content Ownership

We claim no ownership rights over content submitted to or created by you in your Helprace account. These Terms of Service do not grant us any rights to your content except the limited rights needed to provide, maintain, secure, support and improve the Helprace Service.

You retain ownership of your content. You grant Helprace a non-exclusive, worldwide, limited right to host, copy, transmit, display, process and otherwise use your content solely as necessary to provide the Helprace Service and related support.

Helprace may use aggregated and de-identified usage data for analytics, benchmarking, service improvement and similar business purposes, provided that such data does not identify you or your end users.

The Helprace Service, including its software, branding, text, graphics, interfaces and design elements, is protected by applicable intellectual property laws. Helprace and the Helprace logos are trademarks of Helprace and may not be used without our prior written permission.

Account Access

In some cases, it is necessary for Helprace personnel to access your account and content in order to diagnose or resolve a problem, provide support, or maintain the service. When you contact our support team, you authorize such access as reasonably necessary to respond to your request, unless you expressly instruct us otherwise and we can reasonably accommodate that request.

Confidentiality and Data Protection

Our handling of personal information is described in our Privacy Policy. Where Helprace processes customer personal data on behalf of a customer, our Data Processing Amendment also applies.

Indemnification

You agree to indemnify and hold harmless Helprace, its affiliates, officers, directors, employees and agents from and against claims, damages, losses, liabilities, costs and expenses, including reasonable attorneys’ fees, arising out of or related to your content, your use of the Helprace Service, your violation of these Terms of Service, or your violation of applicable law or the rights of a third party.

Disclaimer

The Helprace Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Helprace disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Helprace does not warrant that the Helprace Service will be uninterrupted, secure or error-free.

Limitation of Liability

To the fullest extent permitted by law, Helprace will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenues, goodwill, data or business opportunities arising out of or related to the Helprace Service or these Terms of Service.

To the fullest extent permitted by law, Helprace’s aggregate liability arising out of or related to the Helprace Service or these Terms of Service will not exceed the amount paid by you to Helprace for the Helprace Service during the 90 days immediately preceding the event giving rise to the claim.

Miscellaneous

If any provision of these Terms of Service is held to be unenforceable, the remaining provisions will remain in full force and effect. Any waiver of any provision of these Terms of Service will be effective only if in writing and signed by an authorized representative of Helprace. These Terms of Service, together with any applicable order form, our Privacy Policy, and our Data Processing Amendment, form the entire agreement between you and Helprace regarding the Helprace Service and supersede prior agreements relating to the same subject matter.

These Terms of Service and any dispute arising out of or related to them or the Helprace Service will be governed by the laws of the State of Delaware, excluding its conflict of laws principles. The section headings in these Terms of Service are for convenience only and have no legal effect.
